Welcome to Songcraft! These Terms of Use (“Terms”) govern your access to and use of the Songcraft platform and services (the “Service”) operated by Algorhythmic Labs (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you:

– Are at least 18 years old, or are a teacher/educator authorized to create accounts on behalf of your school or students

– Have the authority to bind yourself (and your school, if applicable) to these Terms

– Will use the Service in accordance with these Terms and all applicable laws

2. Description of Service

Songcraft is an educational music learning platform that helps students develop music reading and rhythm skills through interactive gameplay. The Service includes:

– Web-based music learning games

– Teacher dashboards for classroom management

– Student progress tracking and reporting

– Virtual rewards and customization features

3. Account Registration

Teacher Accounts

– You must provide accurate and complete registration information

– You are responsible for maintaining the confidentiality of your account credentials

– You are responsible for all activities that occur under your account

– You must notify us immediately of any unauthorized use of your account

Student Accounts

– Teachers create and manage student accounts within their classrooms

– Teachers are responsible for obtaining appropriate consent for student participation

– Student accounts are subject to teacher oversight and management

4. Acceptable Use

You agree NOT to:

– Use the Service for any unlawful purpose

– Attempt to gain unauthorized access to the Service or its systems

– Interfere with or disrupt the Service or servers

– Transmit viruses, malware, or other harmful code

– Collect or harvest user information without authorization

– Impersonate another person or entity

– Use automated systems (bots, scrapers) to access the Service without permission

– Share account credentials with unauthorized parties

– Use the Service to harass, abuse, or harm others

– Attempt to reverse engineer or decompile any part of the Service

– Remove or alter any proprietary notices or labels

5. Intellectual Property

Our Content

The Service and its original content, features, and functionality are owned by Algorhythmic Labs and are protected by copyright, trademark, and other intellectual property laws. This includes:

– Game software and code

– Musical compositions and arrangements

– Graphics, animations, and visual designs

– Educational content and curricula

Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended educational purposes, subject to these Terms.

User Content

Any content you submit (classroom names, bug reports, etc.) remains yours, but you grant us a license to use it as necessary to provide the Service.

6. Payments and Subscriptions

Teacher Account Credits

– Some features may require purchasing account credits

– All payments are processed securely through Stripe

– Prices are as displayed at the time of purchase

Refunds

For refund inquiries, please contact support@songcraftgame.com. Refund eligibility is evaluated on a case-by-case basis.

Changes to Pricing

– We reserve the right to modify pricing with reasonable notice

– Price changes will not affect existing pre-paid credits

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services

The Service may integrate with third-party services (such as payment processors). Your use of such services is subject to their respective terms and policies. We are not responsible for third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

– MERCHANTABILITY

– FITNESS FOR A PARTICULAR PURPOSE

– NON-INFRINGEMENT

– ACCURACY OR COMPLETENESS OF CONTENT

We do not warrant that:

– The Service will be uninterrupted or error-free

– Defects will be corrected

– The Service is free of viruses or harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALGORHYTHMIC LABS SHALL NOT BE LIABLE FOR:

– Indirect, incidental, special, consequential, or punitive damages

– Loss of profits, data, use, or goodwill

– Service interruption or system failures

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such cases, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Algorhythmic Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from:

– Your use of the Service

– Your violation of these Terms

– Your violation of any rights of another party

12. Account Termination

By You

You may discontinue use of the Service at any time. Teachers may delete their accounts by contacting support.

By Us

We may suspend or terminate your access to the Service:

– For violation of these Terms

– For extended inactivity (with prior notice)

– For any reason with reasonable notice

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Modifications to Service and Terms

Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

Terms Changes

We may revise these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through:

  1. Informal negotiation (30 days)

  2. Binding arbitration under AAA Commercial Arbitration Rules, if negotiation fails

Class action waivers apply to the maximum extent permitted by law.

15. General Provisions

– Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Algorhythmic Labs.

– Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

– Waiver: Failure to enforce any right does not waive that right.

– Assignment: You may not assign these Terms. We may assign our rights and obligations freely.
